1. Introduction
Welcome to issosmart, a cloud-based compliance management platform provided by Rosewood Management Services Limited. These Terms and Conditions govern your access to and use of the issosmart platform, including all services, features, and content available through the platform.
By using issosmart, you agree to comply with these Terms. If you do not agree, you may not use the platform.

2. Definitions
“SaaS”: Software as a Service.
“issosmart” “RKMS” “We” “Us” or “Our”: Rosewood Management Services Limited.
“Terms”: Terms and Conditions.
“Users”: Employees, representatives, consultants, contractors, or agents authorised to use the subscription service for your benefit and who have unique user identifications and passwords for the subscription service.
“Subscription Term”: Your current contract period, which lasts for one year.
3. Scope of Service
issosmart is a SaaS platform that assists businesses with ISO compliance. The platform is available through a subscription model with access levels: Starter, Professional, and Enterprise. issosmart is for business use only.
4. User Responsibilities
By using issosmart, you agree to:
- Ensure that all information and documents you upload comply with applicable laws and do not infringe the rights of third parties.
- Avoid uploading sensitive personal information unless you have obtained the proper consent.
- Refrain from using the platform for any unlawful activity or to compromise the security or integrity of the service.
You are prohibited from:
- Reverse-engineering, decompiling, or otherwise tampering with the software.
- Using the platform in any harmful or unlawful manner.
- Sharing access credentials with unauthorised users or third parties.
5. User Accounts
Eligibility: You must be at least 16 years old to use Issosmart. If you are under 18, you may only use the platform under the supervision of a responsible adult, such as your employer, parent, or guardian, who agrees to be bound by these Terms. For users under 18, explicit consent from a parent or legal guardian may be required. It is the responsibility of the supervising adult (employer, parent, or guardian) to inform us if a user is under 18. By creating an account, you confirm that you meet this age requirement and that your use of the platform complies with these Terms.
Data Protection for Users Under 18: We take additional measures to safeguard the privacy and security of data for users under 18. By using the platform, you agree that we may process your data in accordance with our Privacy Policy, and where applicable, that parental or guardian consent has been obtained.
Account Creation: You must provide accurate and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and notifying us immediately of any unauthorised use of your account.
Suspension/Termination: We reserve the right to suspend or terminate accounts that violate these Terms or engage in unlawful activities. Users cannot terminate their accounts during the contract term but may request termination in writing at least 30 days before the subscription renewal date.
6. Subscription and Payment Terms
issosmart is available on an annual subscription basis, with options for monthly or annual payments via credit/debit cards (via Stripe) or direct debit (via GoCardless).
Payment Authorisation: By entering your payment information, you authorise us to charge your credit/debit card or bank account for all fees payable during your subscription term.
Late Payments: Regardless of the payment method, we reserve the right to suspend access to issosmart if payments are not made on time.
Late Payment Charges: We reserve the right to charge interest on late payments at a rate of 8% above the Bank of England base rate, applied daily on overdue amounts. Admin fees for late payments are as follows:
- Amount Owed: Up to £999.99 — Admin Fee: £40
- Amount Owed: £1,000 to £9,999.99 — Admin Fee: £70
- Amount Owed: £10,000 or more — Admin Fee: £100
7. Subscription Renewals and Cancellations
Renewals: Subscriptions automatically renew at the end of the term unless terminated in writing at least 30 days before the renewal date.
Cancellations: You may request cancellation at any time, but no refunds will be issued. You will continue to have access until the end of your current subscription period.
Refund Policy: Refunds are not provided as the service is offered on a business-to-business (B2B) basis, meaning there is no legal obligation to issue refunds under English law.
8. Intellectual Property
All content provided through issosmart, including systems, templates, logos, and wording, is the intellectual property of Rosewood Management Services Limited. You are granted a limited, non-exclusive, non-transferable licence to use issosmart solely for its intended purpose.
Suggestions: Users may submit suggestions for improving the platform, but these suggestions will become the property of issosmart, and we are not obligated to provide payment or attribution.
9. Publicity Rights
You grant us the right to add your company name and logo to our customer list and website as part of our promotional materials.
10. Privacy and Data Collection
You may upload various types of data and documents into the issosmart platform (e.g., personnel files, insurance documents, audit records). You are solely responsible for ensuring compliance with applicable laws and retaining the necessary rights to store and process this data.
Data Retention: Data will be retained for 18 months after account cancellation, after which it will be permanently deleted.
Inactive Accounts: User accounts inactive for six months and not associated with an active system will be permanently deleted.
11. Third-Party Services
We use third-party service providers to help operate the platform, including payment processing (e.g., Stripe, GoCardless), cloud storage (e.g., AWS), and marketing/analytics (e.g., MailChimp, Google Analytics). By using issosmart, you agree to the terms of these third-party providers, which are subject to their own privacy policies.
12. Limitation of Liability
To the extent permitted by law, Rosewood Management Services Limited will not be liable for any indirect, incidental, or consequential damages, including loss of data, downtime, or security breaches. Our total liability shall not exceed the amount paid by the user for their subscription during the previous twelve months.
13. Data Security
We take reasonable steps to secure your data, including encryption and secure server environments. However, no method of electronic transmission is completely secure, and by using issosmart, you accept the inherent risks of transmitting data online.
14. Data Breach Notification
In the event of a data breach affecting your personal data, we will notify you and relevant authorities within 72 hours, as required by GDPR.
15. Force Majeure
Neither party will be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, war, strikes, pandemics, government regulations, or failure of internet services.
16. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision will be struck and the remaining provisions will remain in full force and effect.
17. Assignment
You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
18. Entire Agreement
These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and us and supersede all prior agreements or understandings, whether written or oral.
19. Third-Party Rights
A person who is not a party to these Terms shall have no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms.
20. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales, and the parties agree that any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
